The two investment funds, which had opposed the takeover by Arcam in 2016, will each receive SEK345 per share. At the conclusion of the operation, which is expected to take place on 29 December 2017, GE will control about 95% of shares in Arcam.

The investment bank Evercore Partners is participating in fundraising for the new fund, to be entitled Trilantic Capital Partners VI. If it achieves this target, the investment vehicle will become the largest fund raised by the firm founded in 2009 by former employees of Lehman Brothers. The previous fund, closed in 2013, collected USD2.2bn.

The investment will represent a minority stake, according to the same sources, who wished to remain anonymous. Platinum Equity, based in Los Angeles, and led by chairman and CEO Tom Gores, has seen rapid growth in the past few years. In March 2017, the private equity firm closed its fourth fund with assets of USD6.5bn. The previous fund, raised five years earlier, raised USD3.75bn. When contacted by Bloomberg, a spokesperson for Dyal Capital Partners did not wish to comment. For its part, Platium Equity did not respond to requests for comment from Bloomberg.
The private equity firm KKR has announced the acquisition of PetVet Care Centers from the Ontario teachers’ pension regime, L Catterton, and other shareholders, without announcing the financial terms of the transaction. PetVet is an general and veterinary hospital operator specialised in pets, with a network of 126 hospitals in 22 US states. The company, based in Westport, Connecticut, USA, was founded in 2012 by CEO Gino Volpacchio and L Catterton, a a private equity firm born of a partnership between the US Catterton fund, the French luxuries giant LVMH and the Arnault group.

The first fund, entitled Kutxabank Garantizado Bolsa 5, with a maturity date in October 2024, aims to increase capital with a guarantee of 0.67% of the initial net asset value, with an opportunity to take 100% of the variation point by point, if it is positive, from the Eurostoxx 50 Price index. The minimal initial investment is set at EUR100. Management commissions are 0.37%. The second fund, entitled Kutxabank RF Horizonte 6, will mature in May 2022. The unguaranteed objective is to aim for the final net asset value to represent 100.46% of the initial net asset value, for an annual unguaranteed rate of return of 0.11%. As for the first fund, the minimal investment is EUR100. Management fees are set at 0.05%.

The SIIC is expected to be launched on the stock market in first quarter 2018. The structure will have capital of about EUR200m, invested in a selection of hotels. The largest shareholders in the vehicle will be clients of the Bankinter private bank, who have engaged to commit about EUR120m to the project from 18 January. The minimal investment per client will be EUR200,000. Other institutional investors, such as Bankinter, will contribute at least EUR60m to the SIIC.

Dans le cadre de son suivi des conseillers en investissements financiers (CIF), l’Autorité des marchés financiers (AMF) collecte, depuis 3 ans, des informations quantitatives et qualitatives sur leur activité et réalise une synthèse des données ainsi recueillies. Le rapport qu’elle a publié fait apparaitre en 2016 une augmentation de 18% du chiffre d’affaires total déclaré par les CIF par rapport à 2015, qui s’élève à 2,6 milliards d’euros pour 2016 (dont 30% au titre des activités relevant spécifiquement du conseil en investissements financiers) contre 2,2 milliards pour l’année précédente.L’AMF note par ailleurs une forte concentration de l’activité des CIF : 50 CIF sur les 4.682 déclarés concentrent 49% du chiffre d’affaires total.La hausse du chiffre d’affaires total provient essentiellement des acteurs les plus importants, puisqu’une progression de près de 330 millions d’euros (soit 83% de la hausse) est constatée au sein des 25 premiers acteurs. Cette augmentation s’explique pour partie par la variation du périmètre d’étude dont l’arrivée de 3 cabinets importants qui n’étaient pas présents dans le périmètre d’étude 2016 (impact + 221 millions d’euros ) mais également par la progression généralisée du niveau d’activité des autres acteurs.Les effectifs déclarés par les cabinets sont également en hausse par rapport à l’exercice précédent à 15.960 personnes (+2 996 personnes), hausse expliquée principalement par l’arrivée au sein du statut de CIF d’un nouvel acteur, l’effectif moyen par cabinet restant stable à 2,95 en neutralisant l’arrivée de ce nouvel acteur. Parmi ces effectifs le nombre de dirigeants et salariés CIF s’élève à 6.840 personnes (6.556 en 2016). Ces derniers sont soumis à des conditions d’accès à la profession ainsi qu’une obligation de formation continue portant sur la réglementation CIF. A compter de 2020, ces personnes devront également justifier d’un niveau de connaissances minimales en vue de pouvoir continuer à fournir le service de conseil en investissement.L’AMF note par ailleurs que la rémunération des CIF CGP est principalement constituée de rétrocessions de droits d’entrée et de frais de gestion annuels qui représentent respectivement 56% et 35 % du chiffre d’affaires CIF total déclaré, le solde étant constitué d’honoraires facturés aux clients. Par ailleurs, les acteurs ont déclaré au total une collecte de 7,8 milliards d’euros et un encours suivi à la clôture de l’exercice 2016 de 30,5 milliards d’euros comme indiqué ci‐avant. Ainsi, à partir de ces données, les taux de rétrocessions moyens reconstitués s’élèvent pour les droits d’entrée à 3,08% et les frais de gestion à 0,51% (respectivement 3,57% et 0,47% l’exercice précédent).
Natixis a finalisé la cession de sa participation de 15% dans Caceis à Crédit Agricole S.A. Crédit Agricole S.A. sera ainsi, au terme de cette opération, l’unique actionnaire de Caceis, société spécialisée dans les services de dépositaire et de conservation de fonds aux investisseurs. Caceis revendique 2.600 milliards d’euros d’encours en conservation, 1.700 milliards d’euros d’encours administrés et une présence dans 9 pays européens.Dans son communiqué, le Crédit Agricole indique que «dans un contexte de marchés actions porteurs, Caceis, déjà en forte croissance, attire de nouveaux clients en élargissant sa gamme de produits. L’opération permettra de renforcer les bénéfices de l’intégration de Caceis au sein du pôle Grande clientèle du groupe Crédit Agricole S.A. La normalisation progressive attendue du contexte de taux devrait soutenir l’activité de cette filiale dans les années qui viennent. Parallèlement à cette opération, Caceis conforte sa place de partenaire de premier rang des groupes BPCE et Crédit Agricole, les deux premiers acteurs français dans le domaine de l’assurance et de la gestion d’actifs, en élargissant son partenariat dans les services financiers avec le groupe BPCE en France et au Luxembourg».Pour Natixis, qui s’exprime dans un communiqué séparé, l’impact estimé de cette opération sur le ratio CET1 de Natixis au 31 décembre 2017 sera d’environ + 12 pb et se traduira notamment par la réalisation d’une plus-value avant impôt de 74 millions d’euros qui sera comptabilisée dans les comptes du quatrième trimestre 2017. Natixis assure que «cette opération s’inscrit pleinement dans les objectifs du plan stratégique « New Dimension » 2018 - 2020 et notamment l’ambition de réduction des RWA (actifs pondérés par les risques, ndlr) du Corporate Center» .
Le gestionnaire d’actifs américain First Eagle Investment Management (First Eagle), dont les encours s’élèvent à 116 milliards de dollars, a annoncé le 22 décembre avoir finalisé l’acquisition de NewStar Financial, une société de gestion spécialisée dans les prêts directs aux petites et moyennes entreprises et les prêts syndiqués. Désormais, la plateforme de crédit et les équipes d’investissement de NewStar formeront la division de crédit alternatif de First Eagle. NewStar gérait environ 7,3 milliards de dollars d’actifs. L’opération avait été annoncée en octobre 2017. Les actionnaires de NewStar devraient toucher entre 12,32 et 12,44 dollars par action, ce qui valorise la société a plus de 512 millions de dollars.
La société de gestion française Sanso Investment Solutions (Sanso IS) et la Fondation Akuo ont annoncé la signature d’un accord de mécénat financier et de compétences en faveur des projets développés et soutenus par la Fondation. Aux termes de cet accord, Sanso IS s’engage à faire don d’un pourcentage de ses frais de gestion annuels à la Fondation Akuo. En parallèle, la société de gestion s’engage à permettre à ses collaborateurs de consacrer, sur la base du volontariat, jusqu’à un total de 5 jours ouvrés de leur temps de travail à des projets portés par la Fondation en France et dans le monde.Les deux partenaires se connaissent de longue date puisque « Sanso IS a été un investisseur de la première heure dans les green bonds émis par Akuo Energy », rappelle Eric Scotto, fondateur de la Fondation Akuo cité dans un communiqué. « Notre engagement aux côtés de la Fondation Akuo est dans la continuité de la gestion ISR que nous opérons depuis de nombreuses années », juge pour sa part Benoit Magnier, directeur général de Sanso IS.Créée en juin 2011 par le groupe Akuo Energy, la Fondation Akuo a pour missions l’accès aux besoins essentiels dans les pays en développement tels que l’énergie, l’eau, la santé, l’alimentation et l’éducation. Elle participe également à la protection de l’environnement et de sa biodiversité par la sensibilisation au développement durable.
Dans une note adressée aux clients deux jours avant Noël, Dan Och, fondateur et directeur général du groupe Och-Ziff Capital Management, a annoncé que Jimmy Levin, l’un de ses traders star, n’allait finalement pas devenir le prochain directeur général du hedge fund, rapporte Bloomberg. De fait, Dan Och indique à ses clients qu’il a changé d’avis à propos de Jimmy Levin et qu’il cherchera donc son successeur à l’extérieur de la société, selon des sources anonymes citées par l’agence de presse. Selon ces mêmes sources, le patron du hedge fund a estimé, après en avoir discuté avec son conseil d’administration, que ce n’était pas le moment pour que Jimmy Levin, 34 ans, prenne sa relève à la tête de la compagnie. Dan Och espère toutefois que Jimmy Levin restera au sein de la société en qualité de co-directeur des investissements. Le patron d’Och-Ziff Capital Management n’a pas donné de raison pour expliquer ce changement d’avis.
Cerberus Business Finance (CBF), la plateforme de prêts et de crédit aux PME de Cerberus Capital Management a annoncé, ce 26 décembre, que Dyal Capital Partners, une filiale du gestionnaire d’actifs américain Neuberger Berman, a acquis une participation minoritaire dans CBF. Ni le montant de l’opération ni le niveau de cette participation n’ont été divulgués. Toutefois, selon le Wall Street Journal, la transaction, qui a été signée ce vendredi 22 décembre, valorise Cerberus Business Finance à environ 2 milliards de dollars. « A la suite de cet investissement minoritaire, sans droite de vote, il n’y aura aucun changement dans les activités et la gestion au quotidien de CBF ni les processus d’investissements et de prise de décision », indique CBF dans un communiqué.Toujours selon le Wall Street Journal, Cerberus Business Finance utilisera le produit de cette vente pour financer ses opérations, racheter en partie les participations détenues par ses associés et récompenser plusieurs professionnels de la société, selon une lettre adressée aux investisseurs que s’est procurée le quotidien américain.Cerberus Business Finance gère actuellement environ 14 milliards de dollars d’actifs consacrés à des activités de prêts directs sur le marché des PME. Au cours des deux dernières années, la société a réalisé plus de 145 transactions représentant 10,7 milliards de dollars de facilités de crédit.
GSO Capital Partners, la plateforme de crédit de Blackstone, a annoncé, hier, l’acquisition d’un portefeuille d’environ 2,4 milliards de dollars de prêts et d’investissements crédit auprès de NewStar Financial, une société qui vient d’être rachetée par First Eagle Investment Management (lire par ailleurs). L’opération a été réalisée via GSO Diamond Portfolio FUnd, un fonds d’investissement nouvellement créé et doté de 950 millions de dollars.En parallèle, GSO Capital Partners s’est rapproché de First Eagle et l’ancienne équipe de NewStar pour être assistée dans l’administration des actifs acquis par ce nouveau fonds d’investissement.
AdvisorShares, un promoteur de fonds négociés en Bourse (ETF) à gestion active, a annoncé le lancement du AdvisorSharesVice ETF (ticker: ACT), le premier ETF - parmi les stratégies à gestion passive et à gestion active - qui fournit une exposition concentrée sur une sélection d’entreprises dont l’activité est liée à l’alcool, au cannabis et au tabac. Le communiqué précise que l'équipe de gestion de cet ETF «possède une expertise bien établie en matière d’investissement dans ce secteur, notamment via le fondateur et le gestionnaire de portefeuille original du fonds Vice Fund (VICEX)».L’alcool et le tabac ont souvent été considérés comme des zones d’investissement résistantes à la récession, simplement parce que les gens dépensent et prennent plaisir à leurs loisirs, à leurs habitudes et à leurs vices à la fois pendant les périodes économiques florissantes et celles difficiles. Le gérant estime ainsi que les sociétés associées à l’alcool et au tabac peuvent avoir un avantage concurrentiel dans des secteurs fortement réglementés et peuvent générer une croissance de l’investissement grâce à des rendements d’investissement plus prévisibles dans tous les types de marchés.

La filiale de banque privée du groupe Crédit Agricole, dirigée en Espagne par Antonio Losada, vient ainsi de recruter Iñigo Calderon, jusque-là responsable de l’activité avec les clients clés en Espagne chez Deutsche Bank, rapporte le site spécialisé Funds People. Avant de rejoindre la banque allemande, l’intéressé avait été pendant 6 ans directeur général de Barclays Wealth & Investment Management en Espagne.En parallèle, Indosuez Wealth Management a recruté cinq autres cadres de Deutsche Bank en Espagne. Diego Rosillo, sous-directeur régional de Deutsche Bank Asset & Wealth Management en charge du centre et du nord de l’Espagne, a ainsi rejoint le groupe français. Les autres recrues sont Letizia Beca, Carlos Galvez, David Nogues et, enfin, Manuel Martinez.
La société de gestion indépendante espagnole EDM a annoncé le renforcement de l’équipe dirigeante de son pôle « Wealth Management » à Barcelone avec les recrutements de Vicenç Bello et Xavier Catalá en qualité d’administrateurs. Tous rejoignent ainsi Julio Añoveros et Eduard Tarradellas qui ont intégré la société au cours des 18 derniers mois.Vicenç Bello arrive en provenance de Banca March où il occupé plusieurs postes à responsabilité. Plus particulièrement de 2013 à 2017, il a dirigé le pôle « Private Banking » du groupe bancaire espagnol. Précédemment, il a travaillé en banque privée chez BBVA, Unnim ou encore Caixa Terrasa.Pour sa part, Xavier Catalá arrive en provenance de Banco Santander où, de 2014 à 2017, il occupé le poste de directeur de la banque privée. Avant cela, il a été directeur de la banque privée chez Banif et il a officié en qualité de gérant en banque privée au sein de Banco Urquijo et Banesto.
Les fondations et les institutions religieuses font leur reconversion financière. Soutenues par les dons défiscalisés, elles craignent de voir ces ressources se tarir avec la réforme de l’impôt sur la fortune et s’intéressent à l’une des ressources les plus « lucratives » du moment, les fonds d’investissement, rapporte le quotidien Les Echos. « Nous anticipons une division par trois de la collecte », estime Sylvain Coudon, conseiller du président du directoire chargé du développement des ressources à la Fondation pour la recherche médicale. Frédéric Théret, le directeur du développement de la Fondation de France, considère pour sa part que « les dons liés à l’ISF devraient baisser de 40% pour 2018 ». L’alternative consiste alors à proposer aux donateurs d’investir dans des fonds dédiés, permettant de partager le rendement entre le donateur-investisseur et la fondation. L’investissement dans les entreprises non cotées présente deux avantages : des promesses de rendement de 10% en moyenne par an et l’investissement dans l’économie réelle et de proximité, proche des donateurs. A ce titre, Siparex, soutenu par de grandes familles, travaille à un nouveau dispositif de partage de performance. Il s’inspire des fonds de partage existant dans l’univers coté et compte finaliser un support mi-2018. « L’investissement se fera sur le modèle des nouveaux contrats ouverts aux particuliers en assurance-vie que nous lancerons en janvier, mais la performance sera en partie rétrocédée à des fondations ou autres institutions », explique Bertrand Rambaud, le président du groupe Siparex. La banque privée Meeschaert, proche des confédérations religieuses, a créé un modèle du genre dans l’univers coté et elle envisage aussi de lancer un support associant le capital-investissement.
As part of its oversight of independent financial advisers (conseillers en investissements financiers, CIF), the French financial market authority, the Autorité des marchés financiers (AMF), has over the past three years been collecting quantitative and qualitative information about the activities of these actors, and has released a summary of the data it has collected. The report it has published reveals that in 2016 there was an increase of 18% in the total earnings declared by CIFs over 2015, for a total of EUR2.6bn in 2016 (30% of this for activities specifically related to advising on financial investments), compared with EUR2.2bn in the previous year.The AMF also notes a significant concentration of activities at CIFs: 50 CIFs out of a declared 4,862 account for 49% of total earnings.The increase in total earnings comes mostly at the larger players, where there is an increase of nearly EUR330m (83% of the increase) at the top 25 players. This increase is partly due to a change in the scope of the study, with the addition of three large agencies which had not been included in the scopt of the 2016 study (impact +EUR221m), and also due to a general rise in the level of activity at other actors.Personnel declared by these agencies also rose compared with the previous year, to 15,960 persons (+2,996 persons). This increase is largely due to a new actor being granted CIF status, while the average staff size per agency remains stable at 2.95, offsetting the arrival of this new actor. Among personnel the number of directors and employees at CIFs totals 6,840 (6,556 in 2016). These individuals are subject to the access conditions for the profession, and a requirement to undergo ongoing training in CIF regulations. From 2020, these persons will also be required to demonstrate a minimal level of knowledge to be permitted to continue to provide investment advising services.The AMF also notes that pay scales for wealth management advising CIFs is largely composed of commissions on front-end fees and annual management fees, which represent 56% and 35%, respectively, of total declared CIF earnings, while the remainder is made up of billing to clients. Actors declared total earnings of EUR7.8bn, and supervised assets of EUR30.5bn as of the end of the 2016 fiscal year, as incicated previously. On the basis of this data, average commission levels on front-end fees are 3.08%, and on management fees, 0.51% (3.57% and 0.47%, respectively, in the previous year).
Natixis has completed the sale of its 15% stake in Caceis to Crédit Agricole SA. At the completion of the operation, Crédit Agricole S.A. becomes the sole shareholder in Caceis, a company specialised in fund depository and custody services for investors. Caceis has EUR2.6trn in assets under custody and EUR1.7trn in assets under administration, and is present in nine European countries.In a statement, Crédit Agricole states that “in a context of rising equity markets, Caceis, already growing strongly, is attracting new clients and extending its product range. The operation will make it possible to increase the benefits of integration of Caceis into the Greater Client unit at the Crédit Agricole S.A. group. The expected gradual normalisation of the interest rate context is expected to support activities at this affiliate in the coming years. In parallel with this operation, Caceis is assured a place as a top partner of the BPCE and Crédit Agricole groups, the top two players in France in the insurance and asset management industries, and will extend its partnership in financial services with the BPCE group in France and Luxembourg.”Natixis says in a separate statement that the estimated impact of the operation on the CET1 owners’ equity ratio at Natixis as of 31 December 2017 will be about +12 basis points, and will result in a pre-tax capital gain of EUR74m, which will go down on the books for fourth quarter 2017.Natixis states that “this operation is fully in line with the objectives of the ‘New Dimension’ 2018-2020 strategic plan, including an aim to reduce risk-weighted assets (RWA) at the Corporate Center.”

ETFGI, a research and consultancy firm on trends in the global ETF/ETP ecosystem, reported Smart Beta ETFs and ETPs have gathered 69 billion US dollars in net new assets in the first 11 months of 2017. Assets invested in Smart Beta ETFs and ETPs grew by 30.1% year-to-date, the greatest annual increase since 2009 when markets recovered following the 2008 financial crisis, and an increase of 3.8% on the previous record of US$661.74 Bn set in October 2017.Year-to-date, through end of November 2017, Smart Beta ETFs and ETPs listed in globally saw record net inflows of US$68.73 Bn; 22.0% more than net inflows for the whole of 2016, and more than the previous YTD record for the same period of US$45.88 Bn set in November 2016. November 2017 also marked the 21st consecutive month of net inflows into ETFs/ETPs, with US$9.06 Bn gathered during the month. The majority of these flows can be attributed to the top 20 ETFs by net new assets, which collectively gathered US$33.84 Bn during 2017. The iShares Core S&P Small-Cap ETF (IJR US) on its own accounted for net inflows of US$6.51 Bn
Brookfield Infrastructure announced that it has signed definitive agreements to sell its approximate 27.8% interest in ETC Transmission Holdings, S.L., the parent company of Transelec S.A. (“Transelec”), to China Southern Power Grid International (HK) Co., Ltd. for US$1.3 billion.“Over the past year we have been focused on executing the next phase of our capital recycling program, seeking to dispose of mature infrastructure assets and to redeploy the proceeds in higher-returning opportunities,” said Sam Pollock, Chief Executive Officer of Brookfield Infrastructure. “Proceeds from the sale of Transelec will be used to fund our growing backlog of organic growth projects, as well as our robust pipeline of transactions.”Transelec is the largest pure-play power transmission company in Chile, with over 10,000 kilometers of electricity lines serving approximately 98% of the Chilean population.

The preliminary sale price is EUR264m.Thetransaction covers the sale of all shares in the company, which holdsrights in these wind farm projects. Eolus will be responsible forconstructing the two wind farms. For the Kråktorpet location, with43 farms and a capacity of 163.4 MW, Aquila Capital will participatein financing its construction. The sale price for the wind farm isEUR182m. The Nylandsbergen wind farm, with 18 mills, and a power of68.4 MW, will be paid in full at completion of construction. The saleprice is set at EUR82m. The two wind farms will enter service in2019.Underthe agreement signed, Eolus will be responsible for providingtechnical, operational and administrative services for a period ofseven years for the two wind farms.
